1. Interpretation and Definitions
These Terms and Conditions govern your use of Nameless Menu, a comprehensive digital restaurant menu management platform. Please read these terms carefully before using our Service.
- Company: refers to Nameless Solutions LLC, a Wyoming Limited Liability Company ("the Company", "We", "Us", or "Our").
- Country: refers to Wyoming, United States of America.
- Device: means any internet-capable device including computers, smartphones, tablets, or other digital devices that can access the Service.
- Service: refers to the Nameless Menu platform, including the website, dashboard, API, mobile applications, and all related digital menu management tools.
- Website: refers to Nameless Menu, accessible from namelessmenu.dev and all associated subdomains.
- User/You: means the individual, business entity, or organization accessing or using the Service.
- Restaurant/Tenant: refers to the restaurant, food service establishment, or business entity that creates and manages digital menus through our platform.
- Digital Menu: refers to the online menu created, hosted, and managed through our platform, accessible via QR codes, direct links, or embedded widgets.
- User Content: means all data, information, images, text, menu items, descriptions, prices, and other content uploaded, created, or managed by Users through the Service.
2. Acceptance and Eligibility
By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
You represent and warrant that:
- You are at least 18 years of age or the age of majority in your jurisdiction.
- You have the legal authority to enter into this agreement on behalf of yourself or the business entity you represent.
- You will use the Service only for lawful purposes and in accordance with these Terms.
- All information provided during registration is accurate, current, and complete.
If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration and Security
To access premium features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration and maintain the accuracy of this information.
- Maintain the security and confidentiality of your account credentials and notify us immediately of any unauthorized access or security breach.
- Accept full responsibility for all activities that occur under your account, whether authorized by you or not.
- Use only one account per business entity unless explicitly authorized by us in writing.
- Not share, transfer, or allow others to use your account without our prior written consent.
We reserve the right to suspend, terminate, or refuse service to any account that:
- Provides false, inaccurate, or misleading information.
- Violates these Terms or applicable laws.
- Engages in fraudulent, abusive, or harmful activities.
- Attempts to circumvent our security measures or access restrictions.
4. Subscription Plans and Billing
Nameless Menu operates on a subscription-based model with multiple tiers of service. All new accounts receive a 14-day free trial period with full access to premium features.
- Free Trial: New users receive 14 days of free access to all premium features. No credit card required for trial activation. Trial automatically expires unless a paid subscription is selected.
- Payment Processing: All payments are processed securely through Stripe, Inc. By subscribing, you authorize us to charge your designated payment method for all applicable fees, taxes, and charges.
- Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before renewal. You will be charged the then-current subscription rate.
- Price Changes: We may modify subscription prices with 30 days' advance notice. Price changes will not affect your current billing period but will apply to subsequent renewals.
- Taxes: You are responsible for all applicable taxes, duties, and governmental charges related to your use of the Service.
5. Cancellation and Refund Policy
You may cancel your subscription at any time through your account dashboard or by contacting our support team.
- Cancellation Process: Upon cancellation:
- Your subscription remains active until the end of the current billing period.
- You retain access to all premium features until the subscription expires.
- No partial refunds are provided for unused portions of the billing period.
- Data Retention and Deletion: Upon subscription cancellation or account termination:
- All User Content, including menu items, images, and customizations, will be permanently deleted instantly.
- Your digital menus will become inaccessible to customers immediately upon subscription expiration.
- We may retain anonymized usage data and analytics for business purposes.
- Account recovery is not possible after data deletion.
- Refund Policy: Subscription fees are generally non-refundable. Exceptions may be made at our sole discretion for:
- Technical issues preventing service use for extended periods.
- Billing errors or unauthorized charges.
- Legal requirements in your jurisdiction.
6. User Content and Intellectual Property
You retain ownership of all User Content uploaded to or created through the Service, including menu items, descriptions, images, and branding materials.
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:
- Store, process, and display your User Content solely for the purpose of providing the Service.
- Create backups and copies necessary for service operation and data protection.
- Optimize and compress images and content for web delivery and performance.
- Generate analytics and insights based on anonymized usage patterns.
You represent and warrant that your User Content:
- Does not infringe upon any third-party intellectual property rights.
- Does not contain illegal, harmful, offensive, or inappropriate material.
- Complies with all applicable food safety, labeling, and advertising regulations.
- Does not violate any contractual obligations or confidentiality agreements.
We reserve the right to remove any User Content that violates these Terms or applicable laws without prior notice.
7. Platform Features and Limitations
The Service provides comprehensive digital menu management tools including but not limited to:
- Menu creation and customization with drag-and-drop functionality.
- Multi-language support and automatic translation capabilities.
- QR code generation and management for contactless menu access.
- Real-time menu updates and synchronization across all access points.
- Analytics and customer engagement insights.
- Integration capabilities with third-party services and APIs.
- Custom domain and subdomain hosting for branded menu experiences.
Service limitations and restrictions:
- Storage limits apply based on your subscription tier.
- API rate limits may apply to prevent abuse and ensure service stability.
- Certain features may require minimum subscription levels.
- Third-party integrations are subject to the terms and availability of those services.
8. Prohibited Uses and Conduct
You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. Prohibited activities include:
- Uploading or distributing malicious code, viruses, or harmful software.
- Attempting to gain unauthorized access to our systems, servers, or networks.
- Interfering with or disrupting the Service or servers connected to the Service.
- Using automated systems, bots, or scripts to access or interact with the Service without authorization.
- Reverse engineering, decompiling, or attempting to extract source code from the Service.
- Reselling, redistributing, or sublicensing access to the Service without written permission.
- Creating false or misleading menu information that could harm consumers.
- Violating any applicable local, state, national, or international laws or regulations.
9. Data Privacy and Security
We take data privacy and security seriously. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Key privacy and security commitments:
- We implement industry-standard security measures to protect your data.
- Personal information is collected and processed in accordance with applicable privacy laws.
- We do not sell or rent your personal information to third parties.
- You have rights regarding your personal data as outlined in our Privacy Policy.
- Data breaches will be reported in accordance with applicable legal requirements.
10. Service Availability and Maintenance
While we strive to maintain high service availability, we do not guarantee uninterrupted access to the Service.
- Scheduled maintenance will be announced in advance when possible.
- Emergency maintenance may occur without prior notice.
- We target 99.9% uptime but do not provide service level guarantees unless specified in a separate agreement.
- Downtime due to third-party service providers, internet connectivity issues, or force majeure events is not considered a breach of these Terms.
11. Termination
Either party may terminate this agreement at any time. Termination may occur:
- By you, through account cancellation or written notice to us.
- By us, immediately and without notice, if you breach these Terms.
- By us, with 30 days' notice, for any reason including discontinuation of the Service.
Upon termination:
- Your right to access and use the Service immediately ceases.
- All User Content will be deleted in accordance with our data retention policy.
- Outstanding fees and charges remain due and payable.
- Provisions of these Terms that by their nature should survive termination will remain in effect.
12. Limitation of Liability and Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
- WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
- SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Nameless Solutions LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms.
- Your User Content or any claims that it infringes third-party rights.
- Your violation of any applicable laws or regulations.
- Any negligent or wrongful conduct by you or your employees, agents, or representatives.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.
- Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association.
- Arbitration shall be conducted remotely by mutual agreement.
- Each party shall bear their own costs and attorneys' fees unless otherwise awarded by the arbitrator.
- Class action lawsuits and jury trials are waived by both parties.
- Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.
15. Changes to Terms of Service
We reserve the right to modify these Terms at any time. When we make material changes:
- We will provide at least 30 days' advance notice via email or through the Service.
- The updated Terms will be posted on our website with the effective date clearly indicated.
- Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
- If you do not agree to the modified Terms, you must discontinue use of the Service and may cancel your subscription.
16. Miscellaneous Provisions
Additional terms and conditions:
- If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
- These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
- You may not assign or transfer your rights under these Terms without our written consent.
- We may assign these Terms and our rights hereunder without restriction.
- Headings are for convenience only and do not affect the interpretation of these Terms.
